2. Client Responsibilities and WhatsApp Policies
Compliance is Mandatory: You acknowledge and agree that your use of the Services must strictly comply with all applicable laws and regulations, as well as all WhatsApp Policies, which are incorporated into these Terms by reference. You are solely responsible for ensuring that your business and all communications adhere to these policies.
2.1 Message Content and Use Restrictions
* You must obtain and maintain all necessary opt-ins and explicit consent from users before sending any messages, especially for business-initiated and marketing communications.
* You must respect all user requests to block or opt-out of communications immediately.
* All business-initiated messages must use Meta-approved Message Templates and may only be used for the designated purpose.

* SMPP King has no control over Meta/WhatsApp’s approval, rejection, or deactivation of your WhatsApp Business Account (WABA), Message Templates, or display name. Any such decision is final on the part of Meta/WhatsApp.
* You must maintain a high-quality rating for your WABA. Excessive user reports, low-quality content, or policy violations may lead to message limits, restrictions, or a permanent ban of your account by Meta/WhatsApp, for which SMPP King bears no liability.
3. Service Provision and Limitation of Liability
3.1 Service Uptime and Availability
We strive to provide continuous and reliable service. However, the Services rely on external factors, including the stability of the WhatsApp Business Platform and internet service providers. The Services are provided on an "as is" and "as available" basis. SMPP King does not guarantee that the Services will be uninterrupted, secure, or error-free.
3.2 Payment and Fees
* Fees for the Services, including per-conversation charges (as per WhatsApp/Meta’s pricing) and any additional platform or value-added charges by SMPP King, will be as outlined in your specific pricing plan or contract.
* All payments are prepaid and, unless otherwise agreed in writing, non-refundable. This includes any charges incurred due to policy violations, account suspension, or termination by Meta/WhatsApp.
* We reserve the right to update our pricing with prior notice to you.
3.3 Indemnification
You agree to defend, indemnify, and hold harmless SMPP King, its affiliates, employees, and partners against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising from or related to your use of the Services or your breach of these Terms, including any violation of the WhatsApp Policies or applicable laws.
3.4 Limitation of Liability
To the maximum extent permitted by law, SMPP King shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with these Terms or the use or inability to use the Services. Our total liability under these Terms shall not exceed the total fees paid by you for the Services during the three (3) months preceding the event giving rise to the claim.
4. Suspension and Termination
* Immediate Suspension: We may suspend or terminate your access to the Services immediately, with or without notice, if we believe you have breached these Terms, any WhatsApp Policy, or any applicable law, or if required to do so by WhatsApp/Meta.

These Terms shall be governed by and construed in accordance with the laws of India. All disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Kashipur, Uttarakhand, India.
